Memecoins Are Not Securities!

Posted on March 5, 2025 by admin

INTERVIEW ON THE PRICE OF BUSINESS SHOW, MEDIA PARTNER OF THIS SITE.

Recently Kevin Price, Host of the nationally syndicated Price of Business Show, interviewed Michele Cea.

The Michele Cea Commentaries

This piece delves into the classification of meme coins under U.S. federal securities laws, discussing their status as non-securities according to the SEC. Meme coins are unique crypto assets often inspired by internet trends, purchased mainly for fun or as collectibles, not traditional investments. The SEC’s Division of Corporation Finance has clarified that these coins aren’t considered securities, meaning they’re not subject to the Securities Act of 1933’s stringent registration requirements.

The classification hinges on the Howey Test, which determines whether an asset is a security by checking if it involves an investment reliant on others’ managerial efforts. Since meme coins derive their value from market sentiment and speculation rather than business operations, they don’t meet this criterion. However, while they aren’t classified as securities, transactions involving them must still adhere to federal and state laws to avoid fraudulent practices.

With the rapidly evolving crypto environment, staying informed about regulatory changes is crucial for anyone involved in the market, from seasoned investors to newcomers. Being aware of the legal landscape can help navigate the risks associated with meme coins, which are subject to significant price fluctuations. Despite their novelty and entertainment value, it’s essential to approach these assets with a mix of curiosity and caution.
